TERMS AND CONDITIONS OF SALE

1. VALIDITY OF OFFER

This offer is valid for a period of 30 days.

2. TAXES AND LEVIES

Quoted prices are as stated on the quotation.

3. DELIVERY

Delivery is as mentioned on the quotation from the date of receipt of technically or commercially clear order along with dispatch instructions.

4. PAYMENT

Payment is as mentioned on the quotation.

5. INSTALLATION/ASSEMBLY/DEMONSTRATION

Asian Medicos Enterprise shall carry out installation of the equipment and shall nit be responsible for any preliminaries, site alterations, etc. The purchaser shall provide a suitable site, proper uninterrupted power supply as per our requirement.

6. OPERATIONAL REQUIREMENTS

The purchaser shall maintain the environmental conditions recommended by us for proper functioning of the equipment so as to ensure that the equipment does not suffer damage due to humidity, dust, pests, severe temperatures, etc. The purchaser shall ensure that the equipment is operated as per operating instructions and manufacturers recommendations. The purchaser shall also ensure that competent, trained and skilled personnel are to operate the equipment. Asian Medicos Enterprise shall not be held responsible for any loss, damage, or injuries (that may result in death) due to the purchasers’ non-compliance of these conditions.

7. WARRANTY

The equipment offered is covered by warranty under proper use for faulty material or workmanship for 12 months from the date of dispatch. Asian Medicos Enterprise shall not be held responsible for any defect or damage caused to the equipment directly or indirectly due to mishandling, misconduct or negligence on the part of the purchaser or his employees. Failure to operate the equipment as recommended by the manufacturer or failure to maintain the environmental conditions recommended shall invalidate this warranty. Parts which deteriorate overtime due to wear and tear, consumables, or any such parts not specifically covered by this warranty shall be outside the scope of this contract.

8. RESERVATION CLAUSE

This quotation (contract/order confirmation) is made in assumption that the recipient has obtained all necessary licenses and other permissions from the relevant authorities for the intended destination and us of goods and/or services.

9. CANCELLATION

In an event that the purchaser wants to cancel the order, a written notice should be given to Asian Medicos Enterprise and the purchaser should note that they shall be liable to pay a minimum of 10% of the contract towards. If the purchaser cancels the order after the equipment has been dispatched, the purchaser, in addition to the cancellation charges shall be liable to pay Asian Medicos Enterprise all other cists such as freight charges, demurrage, re-diversion costs, and any other costs that may have been incurred by Asian Medicos Enterprise. Without prejudice to any other rights, the supplier has the right to adjust the advance payment paid by the purchaser towards this contract or any other amounts belonging to the purchaser lying with the supplier for any reason whatsoever.

10. FORCE MAJEURE

Asian Medicos offer is strictly subject to force majeure and any other causes beyond reasonable control. In the event of stoppage of work in any establishment of Asian Medicos Enterprise suppliers during the delivery period due to: war, hostilities, acts of the public enemy, civil commotion, riots, sabotage, fires, floods, earthquakes, tempests, explosions, epidemics, acts of God, quarantine restrictions, strikes, lockout, trade disputes, breakdowns, accidents, governmental decree, impossibility, or difficulty of obtaining supplies of raw material, restrictions in power supply, power cuts, stoppage of railways or other carriers and/or causes beyond our control. Deliveries may be postponed partially, or wholly cancelled by the supplier. We shall not be liable for any losses, directly or indirectly due to delay in performance or non-performance of this contract resulting from causes which are beyond our reasonable control and due to such causes, which amount to force majeure at law.

11. ARBITRATION

Any dispute, difference or claim arising out of or in relation to this transaction including validity performance or breach thereof shall, failing amicably settlement be referred to arbitration under Zambian laws and any subsequent amendments thereof for time being in force. We shall appoint a sole arbitration and it shall be binding on the purchaser. Such arbitration shall take place in Lusaka and award of arbitrator shall be final and binding on both parties.

12. LEGAL CONSTRUCTION

The contract shall come into existence only after Asian Medicos Enterprise sends a confirmation of the purchasers’ order and shall be construed and operated as a Zambian contract and in conformity with Zambian law and shall be subject to jurisdiction of courts in Zambia. All correspondence and commitments between Asian Medicos Enterprise and the purchaser are to be enforceable by law and shall be in writing.

13. GENERAL CONDITIONS OF SUPPLY

These general conditions of supply form an integral part of the offer and the offer shall be read and understood in conjunction with the general conditions of supply. The general conditions of supply shall be applicable and prevail, unless otherwise accepted by Asian Medicos Enterprise in writing
